1. Introduction and Acceptance

These Website Terms of Service ("Terms") govern your access to and use of the Feedz website located at feedzsports.com (the "Website") and any related services provided through the Website by Feedz Corp. ("Feedz," "we," "us," or "our").

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website.

These Terms apply to all visitors, users, and others who access the Website ("you" or "Users"). If you are using the Platform as a registered Creator or Client, additional terms apply:

• Creators are also subject to the Creator Platform Terms, the Creator Code of Conduct, and, when participating in campaigns, the Campaign Participation Agreement
• Clients (clubs, leagues, and brands) are also subject to the Platform Subscription Terms

2. About Feedz

Feedz is an AI-powered software platform connecting sports clubs, leagues, and brands to content creators for campaign deployment at scale. The Website provides information about our Services, allows users to request demonstrations, and serves as the entry point for Platform registration.

3. Eligibility

To use the Website, you must be at least 16 years of age. To register as a Creator on the Platform, you must be at least 16 years of age; if you are between 16 and 18, a parent or legal guardian must consent to your registration and accept responsibility for your use of the Platform.

Users under the age of 13 may not use the Website or Platform under any circumstances. Users aged 13–15 may browse the Website for informational purposes only but may not register for an account or submit personal data without verifiable parental consent, in compliance with applicable laws including the U.S. Children's Online Privacy Protection Act (COPPA).

If you are accessing the Website or Platform on behalf of an organization (such as a sports club, league, or brand), you represent and warrant that you have the authority to bind that organization to these Terms.

If you are accessing the Platform as part of a pilot, trial, or evaluation arrangement, the Platform Subscription Terms govern the specific terms of that arrangement.

4. Account Registration

4.1 Account Creation

Certain features of the Website and the Platform require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information to keep it accurate
• Keep your login credentials confidential and not share them with third parties
• Notify us immediately at support@feedzcorp.com if you suspect unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Provide identity verification documents where required by applicable law or Feedz's verification procedures (e.g., government-issued ID, or region-specific identity verification systems)

Feedz may require additional identity verification in certain jurisdictions or for certain account types. The specific verification requirements will be communicated during the registration process and may vary by region.

4.2 Account Security

You are solely responsible for maintaining the security of your account credentials. Feedz is not liable for any loss or damage arising from your failure to maintain the confidentiality of your account information.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Permitted Use

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Website in any way that violates any applicable local, national, or international law or regulation
• Use the Website to transmit or facilitate the transmission of any unsolicited or unauthorized advertising, promotional materials, spam, or similar solicitation

6. Intellectual Property

6.1 Feedz Ownership

The Website and its entire contents, features, and functionality - including all information, software, text, displays, images, video, audio, design, selection, and arrangement - are owned by Feedz, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The Feedz name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Feedz or its affiliates. You must not use such marks without our prior written permission.

6.2 aimi

aimi is Feedz's proprietary AI technology. All intellectual property rights in aimi, including its algorithms, models, outputs, scores, and recommendations, belong exclusively to Feedz. You may not copy, reproduce, distribute, or create derivative works based on aimi technology or its outputs, except as expressly permitted through normal use of the Platform.

6.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for its intended purposes. This license does not include the right to:

• Modify or make derivative works of the Website or its content
• Use any data mining, scraping, or similar data gathering or extraction methods
• Download (other than page caching) any portion of the Website, except as expressly permitted
• Use the Website or its content other than for its intended purposes

6.4 User Content

If you submit, upload, or otherwise make available any content through the Website or Platform ("User Content"), you retain ownership of your User Content. By submitting User Content, you grant Feedz a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your User Content solely for the purpose of operating and providing the Services.

Content ownership in campaigns is governed by the Campaign Participation Agreement, which specifies the license terms between the Creator, the Client (club/league/brand), and Feedz for each campaign. In general: the Creator retains ownership of original content; the Client receives a license to use campaign content on their brand channels; and Feedz receives a license to display content within the Platform.

Feedz is not responsible for User Content. You are solely responsible for the content you create, upload, or share through the Platform. Feedz does not endorse, verify, or assume liability for any User Content. You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe the intellectual property or other rights of any third party.

7. Third-Party Content, Services, and Links

The Website and Platform may contain links to, or integrate with, third-party websites, services, or content that are not owned or controlled by Feedz. These may include:

• Data providers (e.g., sports data and analytics providers whose data is displayed within the Platform)
• E-commerce and merchandise platforms (where clubs or brands link to external stores)
• Sponsor and partner content (brand information, promotions, or advertisements from Feedz clients or partners)
• Social media platforms (where campaign content is published and tracked)

Feedz does not endorse or assume any responsibility for any third-party websites, content, products, or services. Your use of third-party services is governed by those third parties' own terms and policies. If you access a third-party service from our Platform, you do so at your own risk.

7.1 Regulated Activities

Certain features or integrations available through the Platform may involve regulated activities, including gambling, betting, or fantasy sports. Where such features are offered, they will be subject to additional terms and conditions specific to the applicable jurisdiction and regulatory requirements. Feedz will clearly identify any regulated features and the additional terms that apply before you access them. Feedz is not a gambling operator and does not offer betting services directly.

8.1 "As Is" Provision

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FEEDZ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

8.2 No Guarantee of Availability

We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We may modify, suspend, or discontinue any part of the Website at any time without notice.

They do not constitute professional advice and should not be the sole basis for business decisions. Feedz does not guarantee the accuracy, completeness, or reliability of aimi outputs.

8.4 Commercial Representations

Performance metrics, case studies, and revenue figures displayed on the Website (including claims such as "28% Higher Engagement" or similar statistics) are for illustrative purposes only and represent results achieved by specific clients under specific circumstances. Past performance does not guarantee future results, and individual outcomes may vary based on factors including campaign strategy, creator selection, audience composition, and market conditions. Feedz is not liable for changes in algorithms, terms of service, or policies of third-party social media platforms that may affect the delivery or performance of campaigns facilitated through the Platform.

9. Limitation of Liability

9.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FEEDZ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Website
• Any conduct or content of any third party on the Website
• Any content obtained from the Website
• Unauthorized access, use, or alteration of your transmissions or content

9.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEEDZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO FEEDZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

9.3 Exceptions

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Feedz and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Website
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
• Any User Content you submit, upload, or make available through the Website

11. Termination

We may terminate or suspend your access to the Website at any time if you breach these Terms or if we reasonably believe your continued access poses a risk to the Platform, its users, or Feedz. Where practicable, we will provide notice before termination, except where immediate action is necessary to protect the safety or integrity of the Platform. Feedz reserves the right to discontinue the Website or any part thereof at any time.

Upon termination, your right to use the Website will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.

12.3 Alternative Dispute Resolution

Before bringing any formal legal proceedings, the parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of not less than thirty (30) days from the date of written notice of the dispute.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any additional terms applicable to your use of the Platform, constitute the entire agreement between you and Feedz regarding the Website.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and Feedz's failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

Feedz may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

13.5 Force Majeure

Feedz shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, Internet or telecommunications failures, or cyberattacks.

13.6 Notices

Any notices to Feedz should be sent to legal@feedzcorp.com. Notices to you will be sent to the email address associated with your account, or by posting on the Website.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this document
• Notify registered users by email or through the Platform where practicable
• Post the revised Terms on the Website

Your continued use of the Website after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Website.
